1. Services
I design, build and maintain custom web applications on a monthly subscription basis. These Terms apply only to subscription services offered through nicolatoledo.com. Fixed-price projects are governed by a separate, per-project Build Agreement and are not covered by this page.
2. Subscription & Payment
Services are provided through a monthly subscription. Payment is due in advance at the start of each subscription period, and work for that period begins once payment has been received.
3. What You're Buying
With a subscription you are buying dedicated working time allocated to your project for the month, not a fixed deliverable. I commit to focus on your priorities during the bandwidth included in your plan, working in sprints defined together.
4. Client Responsibilities
Timely feedback, decisions and access to the tools, environments and accounts needed to carry out the work are required to keep the subscription productive. If feedback or required input is not provided within the agreed sprint cadence, the working time allocated for that period may be lost and cannot be recovered or rolled over.
5. Communication & Task Management
Tasks, requests and decisions are tracked in the project management tool agreed at kickoff. Calls may be scheduled to align on priorities, but any decision taken verbally must be confirmed in writing to remain valid.
6. Third-Party Costs
Costs for third-party services or tools (hosting, domains, APIs, design assets, paid plugins and similar) are not included in the subscription fee and are the client's responsibility.
7. Renewal & Cancellation
The subscription does not renew automatically. Each subscription period must be activated by a new payment from the Client, made by bank transfer, and work for that period begins only once payment has been received. To end the service it is enough to stop paying for the following period — no formal cancellation notice is required. Refunds are not available for the current period once it has started, including for any unused portion.
8. Liability
I am not responsible for issues, downtime or losses caused by third-party services, tools or infrastructure used in the project. Work outside the agreed scope may require an adjustment to the subscription plan or a separate agreement.
9. Scope & Design
If you work with a designer, they provide the design that I implement. If not, I create a clean, minimal interface based on your brand. Branding and visual identity are your responsibility. Basic animations (fades, slides, hover effects) are included. Complex motion design — such as GSAP sequences, advanced scroll-triggered animations or multi-step interactions — is not part of the service unless explicitly agreed.
10. Intellectual Property
You own the code and work delivered once payment for the relevant subscription period has been received. I claim no rights over what is developed and delivered as part of the service, while retaining the right to reference completed work in my portfolio unless otherwise agreed in writing.
11. Governing Law & Changes
These Terms are governed by the laws of Italy. Any dispute arising from the subscription service will be submitted to the exclusive jurisdiction of the courts of Rome, Italy. I may update these Terms from time to time; the version in force is the one published on this page at the start of each subscription period.
